The Family Business as Seen by a Non-Family Executive-Owner

As a partner in a family business I believe that my perspective is quite different from that of the family owners. Our Firm, Mellott & Mellott, P.L.L. was founded in 1956, and today there are three family member partners who represent the second and third generations.

In many family-owned businesses of the past, ownership interests were available only for family members; “outside owners” were rare. Today, many family businesses not only have non-family members as owners, but have also promoted non-family members to President, Chief Financial Officer or Chief Operating Officer. Non-family executives bring a unique perspective that differs from family members who live, eat and breathe the “business” due to the fact that they have been exposed to it from an early age. Many family businesses require the “next generation” to first, work outside the Company to become exposed to the “outside” business environment and second, to work in a variety of lower level positions within the Company to learn the mechanics of the family business from the ground up. For these reasons and others, non-family owners help fill the void which is many times created between generations of the family As one of the non-family partners, I am able to bring to the partnership the same drive and initiative which is expected from the family and also to bring a balance that is independent from past and present generations. Non-family owners have a financial stake in the business which motivates them to succeed and provide insight which is more unemotional, a key characteristic needed to ensure continued success.

One of the most critical issues a family-owned business faces is the uncertainty involving continuity and leadership caused by the exit of the founder or the older generation. At Mellott & Mellott, P.L.L. we initiate conversations regarding this issue with our family owned clients and strive to help answer questions such as “will the business stay in the family, and if so, who will lead it,” or “will there need to be a sale in order to pay estate taxes” or “will the business cease operations?”

Preparation and planning for these issues should start long before the transition process needs to occur. A strong exit strategy and transition plan is imperative to ensure a smooth transfer of ownership and ultimately continued business profitability and success. The inclusion of non-family members in this process can, in many cases, help provide continuity and objectivity dearly needed in this transition.

Many succession strategies exist to assist in the transfer of ownership and leadership whether it is to the next generation or to non-family members. Having a team of qualified advisors is immeasurably valuable in planning and implementing the right business succession strategy.

Bowns Named to Serve AICPA Peer Review Task Force

Cincinnati. Mellott & Mellott Partner, Thomas O. Bowns, CPA, has been accepted as a member of the AICPA Peer Review Program Technical Reviewers’ Advisory Task Force (TRATF). Bowns is the first Technical Reviewer from Ohio to serve on this national Task Force.

Bowns’ duties for the one-year term will officially start January 1, 2005, and will include working with other Task Force members to advise the Peer Review Board and American Institute of Certified Public Accountants (AICPA) Peer Review staff on issues that impact the accounting industry’s peer review program. Bowns will also be involved in the association’s annual conference, and will serve as the peer review liaison for nine states.

Bowns rejoined Mellott & Mellott in 2003 as a Partner, having previously served the firm in 1972 and becoming a Partner beginning in 1983 prior to launching his own practice. A 1972 graduate of Xavier University with a Bachelor of Science in Business Administration, majoring in Accounting, Bowns is a member of the American Institute of Certified Public Accountants, the Ohio and Tennessee Society of Certified Public Accountants, and is licensed to practice in Ohio, Arkansas and Tennessee. He was also a member of the Ohio Society of Certified Public Accountants Accounting and Auditing Committee.

Bowns coaches youth sports, and serves as an officer for several youth athletic organizations. He resides in western Cincinnati with his son. He is also a member of the finance committee of Cincinnati Habitat for Humanity.

Donald L. Mellott, Jr., Managing Partner of Mellott & Mellott, views Bowns' experience serving on the Task Force as a benefit to the Firm’s clients. “The peer review program is about the quality and integrity of an accounting firm’s product. Donald L. Mellott was recently named an honorary member of the American Institute of Certified Public Accountants (AICPA). This honorary membership is given to Certified Public Accountants who have been members of the AICPA for 40 years. The AICPA is the national professional association of CPAs with more than 340,000 members in public, business and industry, government and education.

Mr. Mellott is a graduate of Xavier University with a degree of Bachelor of Science in Business Administration, majoring in Accounting.

He began his career with Mellott & Mellott is 1958, and continued as Managing Partner of the Firm until August 1, 1998, at which time the responsibility for daily operations were passed to his oldest son Don Jr. Mr. Mellott remains active as the Senior Partner of the Firm. As a Certified Public Accountant, his experience includes over forty-five years serving a wide variety of clients.

Mr. Mellott is a member of the American Institute of Certified Public Accountants and the Ohio Society of Certified Public Accountants (OSCPA). He was Chairman, for eleven years, of the State and Local Chapter, Quality Review Committee, OSCPA. He has served as a Director of the Cincinnati Chapter, and past Chairman of the Local Firm Management Committee. Mr. Mellott also was a member of a special task force for the OSCPA and Ohio Accountancy Board of the Quality Review Program.

He served as Chairman of The Salvation Army Advisory Board where he had been involved for over twenty years and has participated at the board level and served many other local organizations throughout the greater Cincinnati area.

His awards include special recognition for chairing the Quality Review Program for the OSCPA, 1995 Presidents Award given by the Cincinnati Chapter OSCPA for outstanding service to the Profession and also in 1995 was the recipient of the William Booth Award given by The Salvation Army for outstanding service and Leadership.

Mr. Mellott resides in Western Hills with his wife Judy and has five children and seventeen grandchildren.



Donald L. Mellott, Jr. is elected President of Living Arrangements for the Developmentally Disabled (LADD)

Donald L. Mellott, Jr., was recently elected President of the Board of Directors of LADD for the 2003-2004 year on which he has served as Treasurer, Vice President and a member of the Finance Committee since 1992.

LADD, Inc., is a nonprofit tax-exempt organization founded in 1975 by concerned citizens who had children with developmental disabilities. With the support of the Hamilton County Board of Mental Retardation through the Mental Retardation Tax Levy and a capital grant from the Ohio Department of Mental Retardation and Developmental Disabilities, LADD started one of the first educational/residential programs for independent living in the Cincinnati area in July 1976. Since LADD opened its doors, hundreds have benefited from its comprehensive education and training programs. Many former LADD participants are now living in a variety of settings throughout the Greater Cincinnati communities. LADD believes that all people have the right to fully participate in the community in which they live; have a contribution to offer others; have the ability to continuously develop their skills when given the appropriate opportunities and support; have the right and obligation to accept responsibility for their actions, consistent with their abilities; that it is the responsibility of the agency to hold itself to the highest professional standards in all functions of the organization; and that all of the people it serves and the community with which they interact have the ability and determination to overcome prejudice. LADD supports individuals with developmental disabilities over the age of 18 who express a strong desire to increase their independence and live in the community.

Mr. Mellott graduated from Miami University in 1984 with the degree of Bachelor of Science in Business; majoring in Accounting.

He began his career with Mellott & Mellott, P.L.L. in 1984; became a Certified Public Accountant in 1985, a Partner in 1991 and in 1998 became Managing Partner of the Firm.

Mr. Mellott is a member of the American Institute of Certified Public Accountants (AICPA) and the Ohio Society of Certified Public Accountants (OSCPA).

In addition to LADD, he has served on the Finance Committee and as a member of its board of directors for the Center for Chemical Addictions Treatment (CCAT). Mr. Mellott also serves on the Finance Committee and Parish Council of Our Lady of Visitation Church.

He resides in Western Hills with his wife Kim and four children and enjoys coaching and attending sporting events with his children, golfing, soccer and camping.

Partner Rejoins Mellott & Mellott

Tom Bowns joined the Firm as a Partner, Hong Wang joined the firm as Senior Staff Accountant and John Horn joined the firm as Staff Accountant.

Thomas O. Bowns, CPA rejoins Mellott & Mellott as a Partner, having previously served the firm as a Partner in the 1980's. A graduate of Xavier University with an accounting major, Mr. Bowns currently serves as a Technical Reviewer for the Peer Review Department of the Ohio Society of Certified Public Accountants, and performs Peer Reviews of CPA firms throughout the State of Ohio and neighboring states. He coaches youth sports, serves as an officer for several youth athletic organizations, and resides in western Cincinnati with his son.

John Horn graduated from the University of Cincinnati in 2002 with a Bachelor of Business Administration in Accounting. Prior to John joining our firm, he worked with a family landscaping company and performed with a local band. He currently resides in White Oak and in his free time, he enjoys playing his guitar, writing music and playing soccer.

Hong Wang attended school at Long Island University on the C.W. Post Campus where she received Faculty Awards for Academic Excellence in Accounting and Taxation. Hong worked in Manhattan, New York for three years at a local CPA Firm and was an Associate member of the New York State Society of Certified Public Accountants. She and her husband, Nigel, moved to Cincinnati four months ago and currently reside in Hyde Park. In her free time Hong enjoys cooking and reading.

Gregory A. Deyhle CPA has been named a Partner in the Firm.

Greg Deyhle graduated from Miami University in 1987 when he joined the Firm as a Staff Accountant. Greg is in charge of the Firm's Estate and Trust Services and was instrumental in implementing the Firm's paperless audit software. He is a member of the Cincinnati Executives Association and serves as Treasurer on the Board of Directors of Birthright of Cincinnati. Greg resides in Anderson Township with his wife Shawn and four children.

Strategic Plan Declares Accounting Firm's Independence

Cincinnati. In 1999 the accounting industry was experiencing rapid consolidation with many accounting firms expanding their offerings to include investment and financial services or forming alliances with specific investment firms. Don Mellott, Jr., Managing Partner of Mellott & Mellott, a downtown accounting firm with a staff of 32, decided the time was right for the firm to commit to the development of a long-range strategic plan. "We recognized that the decisions to be made would affect the firm for years. We were determined to thoroughly examine the options in choosing the right path for our Firm," said Mellott.

Mellott & Mellott brought in strategy and marketing consultant, Hank Brigman, to facilitate the strategic planning process. The resulting strategic plan focused on the firm's profile, employee relations and growth, and resulted in the firm taking a dramatic stand, one contrary to the prevailing direction of the industry.

In examining the firm's profile, the Partners ultimately decided that they could best serve their clients by remaining independent, focusing on their core competencies of accounting, auditing, and tax and rejecting the industry trend to offer investment and financial services or form alliances. "As a direct result of our independence, we are positioned to provide our clients with objective financial counsel and if needed, referrals to investment professionals based exclusively on our client's need," said Mellott. This decision has resulted in an important benefit. Mellott continued, "The fact that we have chosen not to offer investment and financial services in direct competition with the banks and investment firms has resulted in a significant increase in client referrals from the financial sector."

Each employee at Mellott & Mellott had input into the development of the strategic plan. "Throughout the process, the Partners valued and acted on employee input and the results have been dramatic" said Brigman. The suggestion to add a Family/Executive Services department came from one of the firm's administrative staff, who noticed an increasing need for bill paying services for busy professionals and the elderly.

Each member of the staff completed a questionnaire regarding the firm prior to the development of the strategic plan, and then again after its completion. The second survey demonstrated that the firm's response to employee suggestions had produced, across the board, quantitative positive results.

One of the new human resource practices is a flextime policy that allows employees to work four-day weeks for most of the year. "Awesome," was Supervisor Michelle True's response to the new policy.

The new flextime policy also permitted the professional staff to work extended hours, Monday to Friday, throughout the January 15 - April 15 tax season, keeping their weekends free. "We believe we were the only major CPA firm in Cincinnati to allow its professional staff to take weekends off during the busy tax season. I have been associated with 16 tax seasons at Mellott & Mellott, and this was one of the smoothest," said Mellott.

The Firm's strategic plan calls for the firm to continually seek input from clients. A survey is sent out with each tax return, requesting insight into how the firm has performed and areas in which opportunities for improvement lie. Mellott comments, "I am proud of the positive feedback we received from our clients. It is rewarding to have our hard work and dedication to service recognized by those we serve."

Mellott & Mellott's strategic plan projects an 80 percent increase in revenue by the end of 2004. This growth will be fostered through the generation of new clients, offering new services that are compatible with the firm's profile, and through acquisition opportunities of complementary accounting firms. The firm's growth since the implementation of the strategic plan has prompted an expansion into the entire sixth floor of the Bartlett Building on Fourth Street.

Staff Accountant Sharon Kinney called the strategic planning process, "Truly a positive experience. The Partners response to our input has improved communication, and I am reassured that my career goals are consistent with the firm's goals."

Mellott is pleased with the results. "We emerged from the strategic planning process with a strong firm profile, positioned with clearly defined market advantages, a much happier staff, and with the benefit of everyone in our firm proceeding with a common vision of the firm's direction and continued commitment to client service," Mellott said. Brigman and Mellott continue to talk on a regular basis to monitor the implementation of the strategic plan.
